Canadian-born press baron Conrad Black and his allies "victimized" newspaper publisher Hollinger International through "self-righteous, and aggressive looting" of more than $400 million US from the company over seven years, a scathing report released Tuesday alleges 25-billion US lawsuit against Black and several of his companies and close associates, including Canadian holding companies Hollinger Inc "Not once or twice, but on dozens of occasions Hollinger was victimized by its controlling shareholders as they transferred to themselves and their affiliates more than $400 million in the last seven years," the committee says in the first few pages of a report filed Tuesday with the U The report is the latest in a series produced by a special board committee that has been instrumental in loosening Black's grip on a media empire that once owned Canada's largest newspaper chain and, until recently, Britain's Daily Telegraph Black, who owns only a fraction of Hollinger International shares but controlled it through an elaborate mesh of holding companies and multiple-vote shares, has denied most of the previous allegations and he has filed his own countersuits Calls to spokesmen for Black and Radler for reaction to the latest report were not immediately returned Black was forced out as CEO and chairman of Hollinger International after an internal investigation found that he and several associates improperly received millions in payments that should have gone to the company S " "The intensity of the pressure for tens of millions in cash payments to Black, irrespective of corporate performance or the fairness of transactions to shareholders, led to a series of abusive transactions in which Hollinger was a victim of Black and Radler's ravenous appetite for cash," the committee alleged "Though the persons who took funds or assets from Hollinger improperly are the primary offenders, the consistent inaction of the Hollinger board also resulted in squandering opportunities for stopping abusive acts before the damage was too great," the report said , Radler and Hollinger executives Jack Boultbee and Barbara Amiel Black, a prominent columnist before she married Black Many of the allegations against Black, former chief operating officer David Radler and their associates have been lodged in earlier reports and lawsuits filed by Chicago-based Hollinger International " The committee also slams Hollinger International's board for a "complete abdication" of its duties over non-compete payments allegedly received by Black and associates, including some from the sale of the company's biggest Canadian newspapers But it says the board was "systematically manipulated" by Black and others in recent years, who placed "insatiable pressure" for fee income that would prop up other Black-controlled entities, and also to "satisfy the liquidity needs he had arising from the personal lifestyle Black and his wife had chosen to lead were intended to prevent Black and his colleagues from starting up newspapers in areas where assets Hollinger sold to CanWest were already operating "For years Black and Radler found excuses for transferring existing cash or assets to themselves, even if it required dismantling Hollinger for their own benefit The non-competition payments, worth about $53 million US, from CanWest Global Communications Inc This final report, required under an agreement between Hollinger International and the SEC, also takes aim at the outside directors on the company's board, particularly former Illinois governor James Thompson, chair of the audit committee and Ravelston Corp It adds that members of the audit committee "were inattentive, and they failed to be alert to the possibility that Black and Radler might be proposing vastly inflated or wholly inappropriate fees that were fundamentally unfair to Hollinger shareholders |
